# Terms of Service Last Updated: January 14, 2025 Welcome to ArtNetwork. These Terms of Service ("Terms") govern your access to and use of the ArtNetwork platform, including our website, mobile applications, and related services (collectively, the "Service"). The Service is owned and operated by ArtCollection.io LLC ("Company," "we," "us," or "our"), a limited liability company. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. ## 1. Eligibility You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. ## 2. Account Registration To access certain features of the Service, you must create an account. When you create an account, you agree to: - Provide accurate, current, and complete information during registration - Maintain and promptly update your account information - Maintain the security and confidentiality of your login credentials - Accept responsibility for all activities that occur under your account - Notify us immediately of any unauthorized use of your account We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading, or if you violate these Terms. ## 3. User Content ### 3.1 Your Content The Service allows you to post, upload, share, and otherwise make available certain content, including text, images, artwork, and other materials ("User Content"). You retain all rights in, and are solely responsible for, the User Content you post to the Service. ### 3.2 License Grant By posting User Content to the Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and our business operations, including for promoting and redistributing part or all of the Service. ### 3.3 Content Representations You represent and warrant that: - You own or have the necessary rights to post your User Content - Your User Content does not infringe any third party's intellectual property or other rights - You have obtained all necessary permissions from any individuals depicted in your User Content - Your User Content complies with these Terms and all applicable laws ## 4. Child Safety Standards Art Network is committed to protecting children and maintaining a safe environment. We have zero tolerance for child sexual abuse and exploitation (CSAE) content or conduct on our platform. Key points of our Child Safety Standards include: - Zero tolerance for Child Sexual Abuse Material (CSAM) and exploitation - Prohibition of grooming, sextortion, and inappropriate contact with minors - AI-powered and human moderation to detect violations - Immediate account termination for violators - Mandatory reporting to NCMEC and law enforcement as required by law - In-app reporting tools for users to report concerns If you encounter any content or behavior that violates our child safety standards, please report it immediately using the in-app reporting feature or by contacting our Child Safety Team at safety@artcollection.io. ## 5. Prohibited Conduct In addition to the Child Safety Standards above, you agree not to: - Use the Service for any illegal purpose or in violation of any applicable law - Post content that is defamatory, obscene, pornographic, abusive, or offensive - Harass, threaten, or intimidate other users - Impersonate any person or entity or misrepresent your affiliation - Post content that infringes any intellectual property or proprietary rights - Upload viruses, malware, or other harmful code - Interfere with or disrupt the Service or servers - Attempt to gain unauthorized access to any part of the Service - Use automated means to access the Service without our permission - Collect or harvest user information without consent - Use the Service to send spam or unsolicited communications - Engage in any activity that could damage, disable, or impair the Service - Post content that promotes violence, hate speech, or discrimination ## 6. Intellectual Property ### 6.1 Our Intellectual Property The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of ArtCollection.io LLC and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent. ### 6.2 Copyright Policy We respect the intellectual property rights of others and expect users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law. Termination We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. ## 9. Disclaimer of Warranties THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. ## 10. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARTCOLLECTION.IO LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. ## 11. Indemnification You agree to defend, indemnify, and hold harmless ArtCollection.io LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service. ## 12. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. ## 13. Changes to Terms We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. ## 14. General Provisions **Entire Agreement:** These Terms constitute the entire agreement between you and ArtCollection.io LLC regarding the Service and supersede all prior agreements. **Waiver:** Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. **Severability:** If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect. **Assignment:** You may not assign or transfer these Terms without our prior written consent.
